1. INTRODUCTION
This Digital Toolkit Licence Agreement (“Agreement”) sets out the terms under which ConsultTemplate (“ConsultTemplate”, “we”, “us” or “our”) grants a licence to access, download, use and modify digital templates, toolkits, documents, spreadsheets, checklists, guides, forms, workflows and associated materials made available through the ConsultTemplate website (“Website”).
The individual, business or organisation purchasing or otherwise lawfully obtaining a Toolkit is referred to as the “Licensee”, “you” or “your”.
By purchasing, downloading, accessing or using a ConsultTemplate Toolkit, you confirm that you have read, understood and agree to be bound by this Agreement.
The Toolkit is licensed, not sold.
Your purchase gives you the specific rights associated with the licence type selected at checkout. Ownership of the underlying intellectual property remains with ConsultTemplate or its applicable licensors.
This Agreement governs downloadable digital Toolkits only. Where you purchase a subscription to the ConsultTemplate Interactive platform, or book a Residential or Business Assessment service, your use of that platform or service is instead governed by the applicable Platform Subscription Terms or Assessment Service Terms published on the Website, which apply alongside this Agreement to the extent both are relevant.
2. DEFINITIONS
For the purposes of this Agreement:
2.1 “Toolkit”
Means any digital product, template pack, document set, spreadsheet, checklist, guide, framework, procedure, policy, form, workflow, assessment tool, dashboard, training resource or other digital material supplied by ConsultTemplate.

2.3 “Licence”
Means the permission granted by ConsultTemplate to use a Toolkit subject to this Agreement and the licence type purchased.
2.4 “Licence ID”
Means the unique identifier allocated by ConsultTemplate to a purchase or licence.
2.5 “Single User Licence”
Means a licence permitting one named individual to use the applicable Toolkit for their own personal or professional development purposes, subject to the restrictions in this Agreement.
2.6 “Organisation Licence”
Means a licence permitting one Licensed Organisation to use the applicable Toolkit for its own internal business purposes, subject to the restrictions in this Agreement.
2.7 “Consultant Licence”
Means a commercial licence permitting an individual consultant or consultancy business to use the applicable Toolkit in providing professional services to multiple third-party clients, subject to the terms and restrictions of this Agreement.
2.8 “Client”
Means a third-party organisation or person for whom a Consultant provides professional, advisory, implementation, audit, training or related services.
2.9 “Materials”
Means the Toolkit and all associated intellectual property, including documents, text, designs, structures, methodologies, spreadsheets, formulas, workflows, graphics, diagrams, templates, frameworks, instructions and other content supplied by ConsultTemplate.
2.10 “Authorised User”

3. LICENCE GRANT
Subject to payment of the applicable licence fee and continued compliance with this Agreement, ConsultTemplate grants you a limited, non-exclusive, non-transferable and revocable licence to access and use the applicable Toolkit solely within the scope of the licence purchased.
The licence does not transfer ownership of the Toolkit or any underlying intellectual property to you.
You receive only the rights expressly granted under this Agreement.
Any rights not expressly granted remain reserved by ConsultTemplate.
4. LICENCE TYPES
ConsultTemplate offers different licence types to accommodate different uses.
The licence type purchased will be identified on your order confirmation, account, invoice or Licence Certificate.
4.1 SINGLE USER LICENCE
A Single User Licence permits one named individual to:
- access the applicable Toolkit;
- download the Toolkit;
- use the Toolkit for their own permitted purposes;
- modify the Toolkit for their own permitted use;
- print copies reasonably required for their own use; and
- use the Toolkit for personal learning, professional development or other non-organisational purposes permitted by the product description.
The Single User Licence does not permit the Licensee to:
- share the Toolkit with other individuals;
- distribute the Toolkit to an employer or organisation;
- provide the Toolkit to clients;
- use the Toolkit as a consultancy resource for third parties;
- implement the Toolkit on behalf of another organisation;
- resell the Toolkit;
- sublicense the Toolkit;
- publish the Toolkit;
- upload the Toolkit to a shared public or third-party repository;
- create a competing template library or substantially similar commercial product using the Toolkit; or
- otherwise exploit the Toolkit commercially beyond the rights expressly granted.
5. ORGANISATION LICENCE
5.1 Permitted Use
An Organisation Licence permits the Licensed Organisation to:
- download and store the Toolkit;
- use the Toolkit internally;
- modify and customise the Toolkit;
- use the Toolkit in the Licensed Organisation’s management systems;
- use the Toolkit across the Licensed Organisation’s departments;
- use the Toolkit across its normal internal business functions;
- provide access to employees and authorised personnel of the Licensed Organisation;
- print reasonable copies for internal use;
- use the Toolkit for internal audits, inspections, assessments and improvement activities; and
- use the resulting customised documents as part of the Licensed Organisation’s internal operations.
Where stated on the applicable product page, an Organisation Licence may cover multiple sites operated by the same legal entity.
5.2 Organisation Restriction
The Organisation Licence is limited to the Licensed Organisation identified during purchase.
The licence does not extend to:
- parent companies;
- subsidiaries;
- sister companies;
- associated companies;
- franchisees;
- joint ventures;
- separate legal entities;
- clients;
- suppliers;
- contractors; or
- other third parties
unless expressly stated otherwise in the applicable licence.
5.3 Prohibited Consultancy Use
An Organisation Licence does not permit the Licensee to use the Toolkit to provide consultancy, implementation, advisory, auditing, certification-support or similar professional services to third-party organisations.
For example, if ABC Engineering Ltd purchases an Organisation Licence for an ISO 9001 Toolkit, ABC Engineering Ltd may use that Toolkit internally for its own ISO management system.
ABC Engineering Ltd may not subsequently use the Toolkit to implement an ISO 9001 system for XYZ Engineering Ltd.
Such use requires an applicable Consultant Licence or another written licence expressly granted by ConsultTemplate.
6. CONSULTANT LICENCE
6.1 Commercial Consultancy Rights
A Consultant Licence permits the Licensee to use the Toolkit in connection with professional consultancy and implementation services provided to third-party Clients.
Subject to the applicable product and licence terms, a Consultant Licence may permit the Licensee to:
- use the Toolkit as a consultancy resource;
- adapt and customise templates for Clients;
- create Client-specific management-system documentation;
- incorporate Toolkit content into professional deliverables;
- use the Toolkit across multiple Client engagements;
- provide completed and substantially customised deliverables to Clients; and
- use the Toolkit as part of a professional consultancy service.
6.2 Client-Specific Deliverables
A Consultant Licence permits the Consultant to create Client-specific outputs from the Toolkit.
For example, a Consultant may use a ConsultTemplate ISO 9001 Quality Manual template to create a customised:
“ABC Engineering Ltd Quality Manual”
for a Client.
The Consultant may provide that customised deliverable to the Client as part of the Consultant’s professional service.
6.3 Restrictions on Original Toolkit
A Consultant Licence does not transfer ownership of the underlying ConsultTemplate Toolkit to the Consultant or Client.
Unless expressly permitted by the applicable licence, the Consultant must not:
- provide the original unmodified Toolkit to a Client;
- provide a complete copy of the Toolkit as a standalone download;
- sell the Toolkit separately;
- sublicense the Toolkit;
- permit a Client to use the Toolkit as its own template library;
- make the Toolkit publicly available;
- upload the Toolkit to a public repository;
- distribute the Toolkit through a competing platform;
- remove ConsultTemplate copyright or ownership notices where technically practicable; or
- allow a Client to obtain rights greater than those granted under the applicable Consultant Licence.
The Consultant may provide Client-specific outputs created through legitimate use of the Toolkit where such provision is permitted under the applicable Consultant Licence.

The Licence record may include:
- purchaser name;
- Licensee name;
- organisation name;
- company registration number, where applicable;
- email address;
- Toolkit purchased;
- licence type;
- purchase date;
- licence status;
- applicable renewal or expiry date;
- download history; and
- other information reasonably necessary to administer the licence.
The Licensee must provide accurate information when purchasing a Toolkit.
A licence may not be registered to a fictitious, misleading or unrelated organisation.
9. DOWNLOADS AND ACCESS
ConsultTemplate may operate access-controlled downloads through the Website.
Access to downloadable Materials may require:
- creation of a customer account;
- authentication;
- payment;
- acceptance of this Agreement;
- confirmation of licence type; or
- other reasonable security measures.
ConsultTemplate may restrict, suspend or revoke access where there is reasonable evidence of:
- licence misuse;
- unauthorised sharing;
- payment fraud;
- account abuse;
- redistribution;
- attempted circumvention of access controls; or
- material breach of this Agreement.
10. DIGITAL COPY PROTECTION AND IDENTIFICATION
ConsultTemplate may implement reasonable technical measures to protect its Materials.
These measures may include:
- customer-specific download links;
- authenticated downloads;
- download logging;
- Licence IDs;
- customer or organisation identification;
- digital watermarks;
- copyright notices;
- metadata;
- version identifiers;
- access controls;
- download limits;
- account restrictions; and
- other reasonable technical measures.
The Licensee agrees not to circumvent, disable, remove or interfere with such measures.
The existence of technical controls does not replace the Licensee’s contractual obligations under this Agreement.
11. NO RESALE OR REDISTRIBUTION
Unless expressly authorised in writing by ConsultTemplate, the Licensee must not:
- resell the Toolkit;
- rent the Toolkit;
- lease the Toolkit;
- sublicense the Toolkit;
- transfer the Toolkit;
- distribute the Toolkit;
- publish the Toolkit;
- make the Toolkit available for download;
- place the Toolkit on a file-sharing service;
- upload the Toolkit to a public repository;
- distribute the Toolkit through social media;
- distribute the Toolkit through online communities;
- include the Toolkit in another commercial product;
- provide the Toolkit as a free giveaway;
- provide the Toolkit as a bonus product;
- use the Toolkit to create a competing commercial template library; or
- otherwise commercially exploit the underlying Toolkit outside the rights granted by the applicable Licence.
12. SHARING WITH EMPLOYEES AND COLLEAGUES
Where an Organisation Licence permits multiple internal users, access may be provided to employees and authorised personnel of the Licensed Organisation for legitimate internal business purposes.
The Licensed Organisation is responsible for ensuring that its employees and authorised personnel comply with this Agreement.
The Licensed Organisation must take reasonable steps to prevent unauthorised access or distribution.
Where a Single User Licence applies, the Toolkit must not be shared with colleagues or other users unless ConsultTemplate expressly permits such sharing.
13. CLIENT ACCESS
A Client must not receive ownership or unrestricted access to the original ConsultTemplate Toolkit merely because a Consultant uses the Toolkit in providing services to that Client.
Where the Consultant Licence permits Client deliverables, the Consultant may provide appropriately customised outputs to Clients.
The Consultant remains responsible for ensuring that its Clients do not receive rights to the underlying ConsultTemplate Toolkit beyond those permitted by the applicable licence.
14. INTELLECTUAL PROPERTY RIGHTS
All intellectual property rights in and to the Toolkit and Materials remain the property of ConsultTemplate or its licensors.
Such rights may include:
- copyright;
- database rights;
- design rights;
- trademarks;
- trade names;
- know-how;
- confidential information;
- proprietary methodologies;
- document structures;
- software-related rights;
- database structures; and
- other intellectual property rights.
Nothing in this Agreement transfers ownership of those rights to the Licensee.
The Licensee receives a limited licence to use the Materials only as expressly permitted under this Agreement.
15. MODIFICATION OF MATERIALS
Unless otherwise stated for a particular Toolkit, the Licensee may modify Materials for purposes permitted by its Licence.
Modification may include:
- adding organisation information;
- changing branding;
- adding company procedures;
- adapting terminology;
- changing document references;
- adding processes;
- modifying workflows;
- adding company-specific information; and
- adapting templates to reflect operational requirements.
Modification does not transfer ownership of the underlying ConsultTemplate intellectual property.
16. DERIVATIVE WORKS
Where a Licensee creates a document or other deliverable using the Toolkit, the Licensee may use that resulting document only within the rights granted by its applicable Licence.
For Consultant Licences, Client-specific deliverables may be supplied to Clients where permitted.
However, the creation of a derivative document does not give the Licensee unrestricted rights to reproduce or commercially distribute ConsultTemplate’s underlying Toolkit.
17. NO CREATION OF COMPETING PRODUCTS
The Licensee must not use the Toolkit to create, develop or assist in creating a product or service that substantially reproduces the structure, content, organisation or functionality of the Toolkit for commercial distribution.
This includes creating:
- competing template libraries;
- competing downloadable toolkits;
- substantially similar document packs;
- template subscription libraries;
- resale bundles;
- white-label template libraries; or
- substantially similar commercial resources.
This restriction does not prevent a Licensee from using general knowledge, professional expertise or independently developed materials.
18. PROFESSIONAL AND REGULATORY DISCLAIMER
ConsultTemplate provides templates, frameworks and resources intended to support business activities.
The Materials do not constitute:
- legal advice;
- regulatory advice;
- certification;
- accreditation;
- professional assurance;
- engineering approval;
- health and safety approval;
- environmental approval;
- financial advice; or
- a guarantee of compliance.
The Licensee remains responsible for determining whether a Toolkit is appropriate for its particular circumstances.
Where a Toolkit relates to an ISO standard, legislation, regulation or certification framework, the Licensee remains responsible for verifying the applicable requirements and ensuring that its management system or processes meet the requirements relevant to its organisation.
Use of a ConsultTemplate Toolkit does not guarantee certification, regulatory compliance, successful audit results or any particular business outcome.
19. CONSULTTEMPLATE UPDATES
ConsultTemplate may periodically update, improve, correct or replace Toolkit Materials.
Where an update entitlement is included with the purchased Licence, the Licensee may receive access to applicable updates during the relevant entitlement period.
An update may include:
- corrections;
- revised templates;
- additional resources;
- formatting improvements;
- regulatory references;
- standard updates;
- new guidance; or
- functionality improvements.
Unless expressly stated otherwise, an update does not create a new licence.
20. VERSION CONTROL
ConsultTemplate may identify Toolkit versions using version numbers, release dates or Licence IDs.
The Licensee should maintain appropriate version control within its own organisation.
ConsultTemplate is not responsible for determining which version is appropriate for the Licensee’s particular circumstances.
Where a standard, regulation or requirement changes, the Licensee remains responsible for determining whether its documents require review or modification.
21. LICENCE TERM
Unless otherwise stated on the product page or order confirmation:
Single User Licence
A Single User Licence is granted for the period stated at purchase and, where described as perpetual, remains valid subject to continued compliance with this Agreement.
Organisation Licence
An Organisation Licence is granted for the period stated at purchase and, where described as perpetual, remains valid subject to continued compliance with this Agreement.
Consultant Licence
A Consultant Licence may be sold as a subscription or fixed-term commercial licence.
The applicable term, renewal period and Client-use entitlement will be stated at checkout or on the applicable order confirmation.
22. LICENCE EXPIRY
Where a licence has a defined expiry date, the Licensee must cease any new use of the Toolkit when the licence expires unless the licence is renewed or another valid licence has been obtained.
Existing documents legitimately created during the valid licence period may be subject to the specific terms applicable to that licence and product.
ConsultTemplate may specify different expiry consequences for particular products.
23. LICENCE TRANSFER
A Licence may not be transferred to another individual or organisation without prior written permission from ConsultTemplate.
In particular, an Organisation Licence cannot automatically be transferred when:
- a business is sold;
- a business is acquired;
- a business changes ownership;
- a business becomes part of another group;
- a company merges;
- a business restructures; or
- the Toolkit is transferred to another legal entity.
ConsultTemplate may approve a transfer at its discretion and may charge an applicable licence or administration fee.
24. GROUP COMPANIES
An Organisation Licence applies only to the Licensed Organisation unless the order expressly states that group-wide use is permitted.
A parent company, subsidiary or sister company that wishes to use the Toolkit may require its own licence.
ConsultTemplate may offer group or enterprise licensing for organisations requiring wider rights.
25. CONSULTANT CLIENT LIMITS
Where a Consultant Licence includes a maximum number of Client organisations or projects, the Consultant must not exceed that limit.
Where additional Client licences are required, the Consultant must purchase the applicable upgrade or additional licence.
ConsultTemplate may offer:
- fixed Client limits;
- unlimited Client licences;
- annual Client licences;
- project licences;
- enterprise consultancy licences; or
- other commercial arrangements.
The applicable entitlement will be stated at checkout or in the Consultant Licence record.
26. PAYMENT
The Licensee must pay the applicable licence fee before access to the Toolkit is provided unless otherwise agreed.
Prices are displayed on the Website and may change from time to time.
A price change will not affect a completed purchase unless expressly stated otherwise.
Applicable VAT or other taxes may be charged where required by law.
27. REFUNDS
Digital products may be subject to specific refund conditions displayed at checkout.
Because digital Materials may become accessible or downloadable immediately following purchase, the Licensee acknowledges that specific statutory rules may apply to cancellation rights for digital content.
Nothing in this Agreement is intended to exclude or restrict any statutory consumer rights that cannot lawfully be excluded.
Where the Licensee is purchasing wholly or mainly for business purposes, different legal rights may apply.
28. ACCOUNT SECURITY
The Licensee is responsible for maintaining the confidentiality of its account credentials.
The Licensee must not:
- share account credentials;
- permit unauthorised persons to access its account;
- attempt to bypass authentication;
- create multiple accounts to circumvent licence restrictions; or
- permit others to download Materials through its account in breach of the applicable Licence.
The Licensee must notify ConsultTemplate if it becomes aware of suspected unauthorised account access.
29. PROHIBITED ACTIVITIES
The Licensee must not:
- reverse engineer any software component supplied by ConsultTemplate where prohibited by law;
- circumvent technical access controls;
- remove copyright notices where prohibited;
- falsify Licence information;
- impersonate another Licensee;
- share download credentials;
- systematically download Materials beyond permitted use;
- scrape or extract the Website or Toolkit library;
- reproduce the ConsultTemplate library;
- use automated systems to circumvent download restrictions;
- exploit security vulnerabilities;
- use Materials for unlawful purposes; or
- assist another person in breaching this Agreement.
30. AUDIT AND LICENCE VERIFICATION
ConsultTemplate may reasonably request information necessary to verify compliance with a commercial licence.
For Consultant and Organisation Licences, this may include confirmation of:
- Licensed Organisation;
- Client numbers;
- licence type;
- authorised users;
- use of Materials;
- project use; or
- other information relevant to licence compliance.
ConsultTemplate will exercise any verification rights reasonably and proportionately.
31. SUSPECTED LICENCE MISUSE
Where ConsultTemplate has reasonable grounds to believe that a Toolkit is being used outside the applicable licence, ConsultTemplate may:
- contact the Licensee;
- request clarification;
- temporarily restrict downloads;
- suspend account access;
- require the Licensee to cease unauthorised use;
- require the Licensee to purchase an appropriate licence;
- require deletion of unauthorised copies where legally appropriate; and/or
- pursue other remedies available under law.
ConsultTemplate will consider the circumstances and may provide an opportunity to remedy an alleged breach where appropriate.
32. MATERIAL BREACH
Examples of material breach include:
- unauthorised commercial redistribution;
- deliberate licence circumvention;
- resale of the Toolkit;
- systematic sharing with third parties;
- unauthorised consultancy use under an Organisation Licence;
- use across multiple legal entities without the required licence;
- creation of a competing commercial template library;
- deliberate removal of ownership information;
- fraudulent licence information; or
- repeated infringement following notification.
33. TERMINATION
ConsultTemplate may terminate or suspend a Licence where the Licensee materially breaches this Agreement and fails to remedy the breach within a reasonable period after being notified, where the breach is capable of remedy.
ConsultTemplate may terminate immediately where the breach is serious, deliberate, fraudulent or incapable of remedy, subject to applicable law.
The Licensee may terminate its use of the Toolkit at any time.
Termination does not affect rights or obligations that by their nature should continue.
34. EFFECT OF TERMINATION
Following termination for material breach, the Licensee must:
- cease using the Toolkit;
- cease distributing the Toolkit;
- cease providing unauthorised access;
- remove or destroy unauthorised copies where legally required;
- cease using ConsultTemplate Materials for new projects; and
- comply with any reasonable instructions necessary to protect ConsultTemplate’s intellectual property.
Where legally appropriate, ConsultTemplate may seek damages, injunctive relief or other remedies.
35. LIMITATION OF LIABILITY
Nothing in this Agreement excludes or limits liability that cannot lawfully be excluded or limited.
Subject to that limitation, ConsultTemplate shall not be liable for:
- indirect loss;
- consequential loss;
- loss of profits;
- loss of revenue;
- loss of business;
- loss of anticipated savings;
- loss of goodwill;
- loss of opportunity; or
- business interruption
arising from use of the Toolkit, to the extent permitted by law.
ConsultTemplate does not guarantee that a Toolkit will be suitable for every organisation or circumstance.
36. BUSINESS RESPONSIBILITY
The Licensee remains responsible for:
- reviewing the Toolkit;
- adapting it to its circumstances;
- ensuring information is accurate;
- implementing appropriate controls;
- obtaining professional advice where necessary;
- ensuring legal and regulatory compliance;
- conducting appropriate risk assessments;
- maintaining document control; and
- ensuring that its management system reflects actual operations.
A template must not be treated as a substitute for competent professional judgement.
37. CONFIDENTIALITY
The Licensee must take reasonable steps to prevent unauthorised disclosure of the Toolkit where the Toolkit is provided under a restricted commercial licence.
ConsultTemplate will similarly take reasonable steps to protect information supplied by the Licensee.
Nothing in this clause prevents disclosure required by law.
38. DATA PROTECTION
ConsultTemplate may process personal data in accordance with its Privacy Policy.
Information collected during a purchase or licence registration may be used for purposes including:
- processing orders;
- administering licences;
- providing access to Materials;
- customer support;
- maintaining licence records;
- preventing fraud and misuse;
- communicating important product information; and
- complying with legal obligations.
ConsultTemplate will process personal data in accordance with applicable UK data protection legislation.
39. THIRD-PARTY MATERIALS
Some Toolkits may contain references to standards, regulations, third-party guidance or other external materials.
ConsultTemplate does not claim ownership of third-party intellectual property.
The Licensee is responsible for obtaining any separate licence or permission required to use third-party materials.
40. WEBSITE AND SERVICE AVAILABILITY
ConsultTemplate will make reasonable efforts to maintain Website availability but does not guarantee uninterrupted access.
Access may occasionally be unavailable because of:
- maintenance;
- updates;
- technical problems;
- security measures;
- hosting issues;
- third-party service interruptions; or
- circumstances beyond ConsultTemplate’s reasonable control.
41. LICENCE ENFORCEMENT
The Licensee acknowledges that unauthorised use or distribution of the Toolkit may cause commercial and intellectual property harm to ConsultTemplate.
ConsultTemplate reserves the right to enforce its intellectual property and contractual rights through appropriate legal or other lawful means.
Nothing in this Agreement limits any rights or remedies available to ConsultTemplate under applicable law.
42. CHANGES TO THIS AGREEMENT
ConsultTemplate may update this Agreement from time to time.
The version applicable to a purchase will generally be the version accepted at the time of purchase, unless a subsequent change is required by law or applies to ongoing services or subscriptions.
Material changes affecting existing subscription licences will be communicated where reasonably appropriate.
43. SEVERABILITY
If any provision of this Agreement is found to be invalid, unlawful or unenforceable, that provision shall be modified or removed to the minimum extent necessary.
The remaining provisions shall continue in full force and effect.
44. NO WAIVER
Failure by ConsultTemplate to enforce a provision of this Agreement does not constitute a waiver of its right to enforce that provision subsequently.
45. ENTIRE AGREEMENT
This Agreement, together with:
- the applicable product description;
- order confirmation;
- Licence Certificate;
- Website terms;
- Privacy Policy; and
- any specific written licence terms
forms the agreement between ConsultTemplate and the Licensee regarding the applicable Toolkit.
Where there is a conflict, the following order of precedence applies unless expressly stated otherwise:
- specific written licence agreement;
- order-specific licence terms;
- this Licence Agreement;
- product page terms;
- general Website terms.
